1. Acceptance of Terms

These Terms of Service (“Terms”) govern your access to and use of the website at https://virinchisoftware.com (the “Site”) and any related services operated by Virinchi Software Pvt Ltd (“Virinchi Software”, “we”, “our”, or “us”), a private limited company incorporated under the Companies Act, 2013, with its registered office at New Delhi, Delhi, India.

By accessing or using the Site you confirm that you are at least 18 years old, have the legal authority to enter into these Terms, and agree to be bound by them. If you are using the Site on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

If you do not agree to these Terms, you must not use the Site.

2. Changes to These Terms

We reserve the right to amend these Terms at any time. Revised Terms will be posted on this page with an updated “Effective date”. Material changes will be highlighted for 30 days after publication. Your continued use of the Site after the effective date of any revision constitutes your acceptance of the updated Terms. If you do not accept the changes, please stop using the Site.

3. Use of the Site

3.1 Permitted use

You may use the Site for lawful purposes only and in accordance with these Terms. You may browse, download, and print content for your own personal or internal business use, provided you do not remove any copyright or proprietary notices.

3.2 Prohibited conduct

“Virinchi Software” and related logos and service names are trademarks or registered trademarks of Virinchi Software Pvt Ltd. You may not use them without our prior written permission.

5. Enquiries and Project Engagements

Submitting an enquiry or contact form through the Site does not create a binding agreement between you and Virinchi Software. A binding engagement only arises when both parties have executed a separate written Master Services Agreement or Statement of Work (“SOW”).

Any information exchanged during pre-engagement discussions is subject to the confidentiality obligations set out in the applicable non-disclosure agreement or, in its absence, our standard confidentiality terms.

6. User-Submitted Content

If you submit content to the Site (e.g., comments, case study testimonials, or feedback), you grant us a non-exclusive, royalty-free, perpetual, irrevocable, worldwide licence to use, reproduce, modify, adapt, publish, and display that content for any purpose in connection with our business.

You represent and warrant that you own or have the necessary rights to submit such content and that it does not infringe any third-party rights or violate any law.

7. Third-Party Links and Services

The Site may contain links to third-party websites or services. These links are provided for convenience only. Where liability cannot be fully excluded under applicable law, our aggregate liability to you for any claim arising out of or related to the Site shall not exceed ₹10,000 (Indian Rupees Ten Thousand) or the amount you paid us in the 12 months preceding the claim, whichever is greater.

These limitations apply whether the claim is based in contract, tort (including negligence), statute, or any other legal theory, and even if we have been advised of the possibility of such damages.

10. Indemnification

You agree to indemnify, defend, and hold harmless Virinchi Software Pvt Ltd and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to:

12. Governing Law and Jurisdiction

If you are accessing the Site from outside India, you agree that Indian law governs these Terms and you submit to the jurisdiction of the New Delhi courts for dispute resolution.

13. Dispute Resolution

Before initiating any legal proceedings, both parties agree to attempt to resolve any dispute in good faith through informal negotiation for a period of 30 days from written notice of the dispute. If the dispute is not resolved within 30 days, either party may pursue their legal remedies.

14. Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from any cause beyond our reasonable control, including acts of God, natural disasters, pandemic, war, civil unrest, government actions, power outages, or internet service disruptions.

15. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it enforceable.

16. Entire Agreement

These Terms, together with our Privacy Policy and any applicable engagement-specific agreements, constitute the entire agreement between you and Virinchi Software Pvt Ltd with respect to the Site and supersede all prior agreements, representations, and understandings of any kind.
